1. Agreement to These Terms
These Terms and Conditions ("Terms") are a binding agreement between you and Gather, a sole proprietorship ("Gather," "we," "us," or "our"), governing your access to and use of the Gather mobile application and related services (the "Service"). They include and incorporate our Privacy Policy and, for the application, the End User License Agreement (EULA). By creating an account or using the Service, you agree to these Terms. If you do not agree, do not use the Service. PLEASE READ SECTION 18 (DISPUTE RESOLUTION; ARBITRATION; CLASS-ACTION WAIVER) CAREFULLY — IT AFFECTS HOW DISPUTES ARE RESOLVED.
2. Eligibility & Minors
You must be at least 13 years old (or the minimum age of digital consent in your jurisdiction) and able to form a binding contract to use the Service. If you are under 18, you may use the Service only with the involvement and consent of a parent or legal guardian, who agrees to these Terms on your behalf and is responsible for your use. By using the Service, you represent that you meet these requirements.
3. Your Account
You are responsible for maintaining the confidentiality of your login credentials and for all activity under your account. You agree to provide accurate information, choose a unique @username, not impersonate any person or entity, and notify us promptly of any unauthorized use of your account. You are responsible for any organization profile you create or operate and for the conduct of members you add to it.
4. License to Use the Service
Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your personal, non-commercial use, except where you use promoter features under the applicable plan. You may not copy, modify, reverse-engineer, decompile, or create derivative works of the Service except as permitted by law, nor use it to build a competing product or to scrape or harvest data.
5. Your Content & License to Us
You retain ownership of content you create or upload ("User Content"). You grant Gather a worldwide, non-exclusive, royalty-free, sublicensable, transferable license to host, store, reproduce, adapt, publish, and display your User Content solely to operate, provide, secure, and promote the Service. You are solely responsible for your User Content and represent that you have the rights necessary to share it and that it does not violate these Terms or any law. This license ends when your User Content is deleted, except for content others have shared or copies retained in routine backups, and except as needed to comply with law.
6. Acceptable Use
You agree not to use the Service to: violate any law or third-party right; harass, abuse, threaten, bully, stalk, or harm others; post unlawful, hateful, sexually explicit, deceptive, infringing, or otherwise objectionable content; spam or send unsolicited communications; impersonate others or misrepresent the organizer of an event; collect others’ data without consent; transmit malware; or interfere with, overload, or compromise the security or operation of the Service.
7. Content Moderation, Reporting & Objectionable Content
Gather does not tolerate objectionable content or abusive users, and there is zero tolerance for objectionable user-generated content. You can block any user, and you can report content or people to us using the in-app Report controls on profiles and events. We review reports and may remove content and warn, suspend, or terminate accounts; we aim to act on reports of objectionable content promptly, typically within 24 hours, including by removing the content and ejecting the user who provided it. 8. Events, Organizers & Assumption of Risk
You are solely responsible for events you create, host, or promote, including their accuracy, lawfulness, safety, permits, and any obligations to attendees. Community and promoted events are organized by their listed organizations or users, not by Gather. Gather does not verify, endorse, host, supervise, or assume responsibility for any event, organizer, venue, or attendee. Meeting people and attending events in real life carries inherent risks; you participate at your own risk, assume responsibility for your own safety, and agree to use good judgment and follow applicable laws and safety practices. To the fullest extent permitted by law, you release Gather from claims arising out of your interactions with other users or your attendance at any event.
9. Subscriptions & Auto-Renewal
Gather offers optional auto-renewing subscriptions (currently "Plus" and "Promote") sold through Apple. The subscription length and the price for each period are shown in the app before you buy. Payment is charged to your Apple Account at confirmation of purchase. Subscriptions automatically renew unless auto-renew is turned off at least 24 hours before the end of the current period, and your Apple Account is charged for renewal within 24 hours before the period ends. You can manage or cancel subscriptions, and turn off auto-renew, in your Apple Account Settings after purchase. Any unused portion of a free trial, if offered, is forfeited when you buy a subscription. Purchases and refunds are handled by Apple under Apple’s terms; we do not process payments directly. We will give notice of any price change as required by Apple and applicable law.
10. Payments & Third-Party Services
The Service may facilitate cost-splitting by linking to third-party payment apps (e.g., Venmo, Cash App). Gather does not process, hold, or transfer funds and is not a party to any transaction between users. Such payments are subject to the third party’s terms, and you are responsible for the accuracy of any payment you send or request.
11. Intellectual Property
The Service, including its software, design, logos, trademarks, and content (excluding User Content), is owned by Gather or its licensors and protected by intellectual-property laws. We grant you no rights to our trademarks or branding. Nothing in these Terms transfers any such rights to you.
12. Copyright & DMCA
We respect intellectual-property rights and respond to notices of alleged infringement under the Digital Millennium Copyright Act (DMCA). If you believe content on the Service infringes your copyright, send a notice with the information required by 17 U.S.C. §512(c)(3) to our designated agent at [email protected] (subject: "DMCA Notice"). We will remove or disable access to infringing material, provide a counter-notice process, and terminate repeat infringers in appropriate circumstances.
13. Apple App Store & EULA
You acquire the app through the Apple App Store, and these Terms (together with Apple’s standard Licensed Application End User License Agreement, which they supplement) are between you and Gather, not Apple. Apple has no obligation to provide maintenance or support for the app; Gather, not Apple, is responsible for the app, its content, any product warranties, and addressing any claims relating to the app (including product-liability, legal/regulatory, and intellectual-property claims). You represent that you are not located in a U.S.-embargoed country or on a U.S. prohibited-party list. Apple and its subsidiaries are third-party beneficiaries of these Terms and may enforce them against you. Our full EULA terms are available on our policy site.
14. Disclaimers
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE, OR THAT ANY EVENT, ORGANIZER, OR USER IS SAFE, LAWFUL, OR AS DESCRIBED. SOME JURISDICTIONS DO NOT ALLOW CERTAIN DISCLAIMERS, SO SOME MAY NOT APPLY TO YOU.
15. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, GATHER AND ITS OPERATOR WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF DATA, PROFITS, GOODWILL, OR PERSONAL INJURY, ARISING FROM OR RELATING TO YOUR USE OF (OR INABILITY TO USE) THE SERVICE, ANY USER CONTENT, OR ANY EVENT OR INTERACTION WITH OTHER USERS, WHETHER BASED IN CONTRACT, TORT, OR ANY OTHER THEORY, EVEN IF ADVISED OF THE POSSIBILITY. OUR TOTAL LIABILITY FOR ANY AND ALL CLAIMS WILL NOT EXCEED THE GREATER OF THE AMOUNT YOU PAID US IN THE 12 MONTHS BEFORE THE CLAIM OR USD $100. THESE LIMITS ARE A FUNDAMENTAL BASIS OF OUR AGREEMENT.
16. Indemnification
You agree to indemnify, defend, and hold harmless Gather and its operator from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or related to your User Content, your use of the Service, any event you create or attend, or your violation of these Terms or any law or third-party right.
17. Termination
You may stop using the Service and delete your account at any time. We may suspend or terminate your access at any time if you violate these Terms or if necessary to protect the Service or other users. Provisions that by their nature should survive termination (including ownership, User Content license to the extent described, disclaimers, limitation of liability, indemnification, and dispute resolution) will survive.
18. Dispute Resolution; Arbitration; Class-Action Waiver
PLEASE READ THIS SECTION CAREFULLY. We want to resolve concerns without formal proceedings, so you agree to first contact us and give us 30 days to resolve any dispute informally. If we cannot, you and Gather agree to resolve any dispute arising out of or relating to these Terms or the Service through binding individual arbitration administered by a recognized arbitration provider under its consumer rules, rather than in court, except that either party may bring an individual claim in small-claims court, and either party may seek injunctive relief for intellectual-property misuse. YOU AND GATHER AGREE THAT EACH MAY BRING CLAIMS ONLY IN AN INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY CLASS, COLLECTIVE, OR REPRESENTATIVE PROCEEDING, AND THE ARBITRATOR MAY NOT CONSOLIDATE CLAIMS. You may opt out of this arbitration agreement within 30 days of first accepting these Terms by emailing us with your username and a statement that you opt out. If the class-action waiver is found unenforceable for a particular claim, that claim (and only that claim) will proceed in court. This Section is governed by the Federal Arbitration Act.
19. Governing Law
These Terms and any dispute between you and Gather are governed by the laws of the United States and of the state in which Gather’s operator resides, without regard to conflict-of-laws principles, except that the Federal Arbitration Act governs Section 18. Nothing in these Terms limits any mandatory consumer-protection rights you have under the law of your own place of residence.
20. Changes to These Terms
We may modify these Terms from time to time. Material changes will be indicated by updating the “Last updated” date and, where appropriate, by additional notice. Your continued use of the Service after changes take effect constitutes acceptance of the revised Terms.
